1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Relay Contact Center ("Company," "we," "us," or "our") concerning your access to and use of our virtual contact center and customer support services.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.
2. Services Description
Relay Contact Center provides:
- Virtual contact center setup and management
- Multi-region DID (Direct Inward Dialing) phone numbers
- Call routing and forwarding services
- Interactive Voice Response (IVR) systems
- Voicemail services
- Call logging and basic reporting
- Related telecommunications services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.
3. Account Registration and Security
3.1 Account Creation
To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.
3.3 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent that you meet these requirements.
4. Acceptable Use Policy
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited communications, or engage in telemarketing violations
- Transmit harmful, fraudulent, or illegal content
- Impersonate any person or entity
- Interfere with or disrupt our services or servers
- Attempt to gain unauthorized access to our systems
- Use our services for any illegal or harmful purposes
- Harass, abuse, or harm other users or their customers
- Engage in robocalling or automated calling without proper consent
We reserve the right to suspend or terminate your account for violation of this Acceptable Use Policy.
5. Payment Terms
5.1 Fees
You agree to pay all fees associated with your use of our services as outlined in your service agreement. Fees may include setup fees, monthly service charges, per-minute call charges, and DID number rental fees.
5.2 Billing
Fees are billed in advance or arrears as specified in your service agreement. You authorize us to charge your designated payment method for all fees incurred.
5.3 Late Payment
Late payments may result in service suspension or termination. We may charge late fees as permitted by applicable law.
5.4 Refunds
Fees are generally non-refundable except as required by law or as specified in your service agreement.
6. Service Level and Limitations
6.1 Service Availability
While we strive to provide reliable services, we do not guarantee uninterrupted or error-free operation. Services may be subject to limitations, delays, and other problems inherent in telecommunications networks.
6.2 Maintenance
We may perform scheduled maintenance that temporarily interrupts services. We will provide reasonable advance notice when possible.
6.3 Third-Party Dependencies
Our services depend on third-party telecommunications carriers and service providers. We are not responsible for failures or limitations of third-party services.
7. Intellectual Property
All content, features, and functionality of our services, including but not limited to software, text, designs, and logos, are owned by Relay Contact Center and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.
8. Data and Privacy
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.
You are responsible for obtaining necessary consents for call recording and monitoring in accordance with applicable laws.
9. Term and Termination
9.1 Term
These Terms remain in effect while you use our services. Your service agreement may specify minimum term commitments.
9.2 Termination by You
You may terminate your account by providing written notice as specified in your service agreement. You remain responsible for fees incurred prior to termination.
9.3 Termination by Us
We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice.
9.4 Effect of Termination
Upon termination, your right to use our services ceases immediately. We may delete your account data in accordance with our data retention policies.
10. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAY CONTACT CENTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for all claims related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Relay Contact Center from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any rights of another.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration or in the courts of competent jurisdiction as specified in your service agreement.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our services. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with your service agreement and Privacy Policy, constitute the entire agreement between you and Relay Contact Center.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
